I / We acknowledge:

• That New Gen Business Group Pty Ltd has introduced the business (es) mentioned above to me/us and that it/they are on the market to be sold. The Purchaser has been recommended to carry out their own due diligence &/or secure their own independent valuation(s).
• All information given in relation to the business is considered Confidential Information, unless it is publicly available to the general public. Confidential Information includes financial statements, lease information, licences, systems and any other material. In receiving this Confidential Information, I/We agree to keep all Confidential Information confidential.
• I / We are aware of the Privacy Act (1998)
• The Purchaser has been recommended to carry out their own due diligence &/or secure their own independent valuation(s)

I / We (including my/our partners/directors) must not, without prior written consent of the vendor and the agent:

• Disclose the Confidential Information to any individual, corporation or partnership
• Copy/duplicate the Confidential Information
• Only use the Confidential Information for the purpose of assessing the business with the intent of making an offer to purchase the business

These obligations extend to all My/Our officers, employees, partners and advisors who have had access to part or all of the Confidential Information.

I / We agree that all dealings with the vendor or his agents and advisors, shall be conducted via New Gen Business Group Pty Ltd.

I / We agree that all Confidential Information shall be returned upon request to New Gen Business Group Pty Ltd if the business is not purchased with 7 days.

I / We undertake and agree:

• That I / We will ensure that My / Our officers, employees or advisors do not act in a manner or in such a way that would constitute a breach of My / Our obligations under this deed.
• In the event I/We eventually purchase the said business, whether as an individual, company or a partnership privately, through another agent or any other source, I/We undertake to compensate New Gen Business Group Pty Ltd for any damages and loss of commission.
• To indemnify New Gen Business Group Pty Ltd against any loss or damage it suffers directly or indirectly arising from or connected with any failure of I / We to meet any obligations under this deed or any failure to observe any obligation of confidence relating to the Confidential Information
